Our software products and services utilize artificial intelligence tools and technologies to enhance research, analysis, and solution development. By engaging our services, you acknowledge and agree that:

• Human Oversight: All AI-assisted work is reviewed, validated, and approved by qualified professionals before delivery
• AI Limitations: AI-generated content may contain inaccuracies, unexpected expressions, or limitations. You are responsible for verifying facts and conducting necessary checks before implementing AI recommendations in your business
• No Guarantees: While we strive for accuracy, we do not guarantee that AI-generated outputs will be error-free or suitable for all purposes
• Professional Judgment: Final decisions and professional judgment remain with human consultants, not AI systems

4. Intellectual Property Rights

4.1 Our Intellectual Property

All training materials, methodologies, frameworks, processes, and proprietary tools developed by us remain our exclusive intellectual property.

4.2 Client Data and Information

You retain all rights to data, information, and materials you provide to us. We will not use your proprietary information beyond the scope necessary to deliver our services.

4.3 Deliverables

Ownership of custom software, solutions, and deliverables created specifically for you will be defined in individual service agreements. Unless otherwise specified, you will receive a license to use deliverables for your business purposes.

4.4 Third-Party AI Tools

When utilizing third-party AI platforms (e.g., OpenAI, Anthropic, Google), those platforms' terms of service and intellectual property policies apply to their respective outputs.

5. Client Responsibilities

As a client, you agree to:

• Provide accurate, complete, and timely information necessary for service delivery
• Verify and validate all AI-generated recommendations before implementation
• Comply with all applicable laws and regulations when using our services
• Not use our services for illegal, harmful, or unethical purposes
• Respect intellectual property rights of third parties

6. Confidentiality

We treat all client information as confidential and will not disclose it to third parties without your consent, except as required by law or as necessary to deliver our services. For sensitive projects, we are willing to execute separate Non-Disclosure Agreements (NDAs).

7. Payment Terms

Specific payment terms, including fees, invoicing schedules, and payment methods, will be outlined in individual service agreements or proposals. General terms include:

• Fees may be structured as hourly rates, project-based pricing, or retainer agreements
• Invoices are typically due within 14-30 days of issuance
• Late payments may incur additional fees as specified in service agreements
• We reserve the right to suspend services for non-payment

8. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claims arising from our services shall not exceed the total fees paid by you for the specific services giving rise to the claim
• We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business opportunities
• We are not responsible for damages resulting from your failure to verify or properly implement AI-generated recommendations
• We do not guarantee specific business outcomes or results from our services

9. Warranties and Disclaimers

We warrant that our services will be delivered with reasonable skill and care consistent with industry standards. However:

• Services are provided "as is" without warranties of any kind, express or implied
• We do not warrant that our services will be uninterrupted, error-free, or meet all your requirements
• AI technologies are rapidly evolving, and we cannot guarantee compatibility with future systems or regulations

10. Termination

Either party may terminate a service engagement under the following conditions:

• With written notice as specified in the service agreement (typically 14-30 days)
• Immediately for material breach of these terms
• Immediately for non-payment or fraudulent activity

Upon termination, you remain responsible for payment of all fees for services rendered up to the termination date.

11. Indemnification

You agree to indemnify and hold harmless Sami Hermes AI Solutions Limited from any claims, damages, or expenses arising from your use of our services, your violation of these terms, or your violation of any rights of third parties.

12. Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR), where Sami Hermes AI Solutions Limited is incorporated, without regard to conflict of law principles.

Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes may be resolved through binding arbitration or in the courts of the applicable jurisdiction.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the modified terms.

14. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
